MEDIA RESOURCES TERMS & CONDITIONS

This is an agreement between you, the licensee (“Licensee” or “You”) and the Taco Bell Foundation for rights to download and use certain materials produced by the Taco Bell Foundation and made available to Licensee from time to time via the Taco Bell Foundation Media Center (the “Materials”).

You hereby agree that the rights granted herein are limited and non-transferable and that the Materials are to be used only for the term that is specified by the Taco Bell Foundation, and subject to any restrictions set forth herein and/or when accessing the applicable Materials, including those posted at www.tacobell.com/legal-notices/terms-of-use. By downloading and/or using the Materials, Licensee agrees that the Taco Bell Foundation hereby grants You a limited, non-exclusive, revocable license to use the Materials only in accordance with the terms of this agreement.  Notwithstanding the foregoing, nothing contained in this agreement shall convey to Licensee any other right, title, or interest in or to the Materials, including any trademarks, trade names, logos, copyrights, trade secrets or other intellectual property, or any confidential information of the Taco Bell Foundation relating to its business or the operations thereof.  All Materials posted on the media center are and remain the property of the Taco Bell Foundation.

Rights for the Materials are restricted to for the following territories and usage:

Territory: United States and its territories, possessions, and commonwealths

Usage: The Materials are only available for use in connection with information about the Taco Bell Foundation and its products and services.  The Materials are only available for editorial use by press agencies, journalists, and students in connection with broadcast media and newspaper, news magazine, trade publication, and educational articles. Any other use of these Materials is strictly prohibited. Under no circumstances may these materials be used for any personal or commercial purposes.

Guidelines and Restrictions for the Use of Taco Bell Foundation’s Trademarks and Logos

Taco Bell Foundation’s trademarks and logos may be incorporated into the Materials or otherwise available for use. The Taco Bell Foundation trademarks and logos are important assets to the company and represent the brand quality and consistency that we have developed with our customers over the course of many years. Therefore, we ask journalists and students who would like to use Taco Bell Foundation’s trademarks/logos in connection with news stories and reports to observe the following guidelines and restrictions:

• The trademarks and logos may only be used as part of or in close proximity to a published article, educational report, or broadcast news story about Taco Bell Foundation and its products or services.
• The trademarks and logos may not be copied or distributed apart from the applicable article or broadcast. You may not redistribute the trademarks or logos in hard copy or electronic form for others to use or copy.
• You may not modify the form, color or design of any logos. You may not animate or otherwise distort the appearance of any logos. You may not cut off or cover up any portion of the logos. The logos must stand alone and should not be combined with any other logos, elements or designs.
• You must use the correct trademark symbol (® or TM as applicable) immediately following the first or most prominent use of any trademark or logo. If applicable, use the correct generic name or descriptor immediately following the first mention of the trademark in text.

To the extent Materials and/or portions of Materials are watermarked and/or otherwise indicate that additional licenses and/or permissions are needed from any third party prior to use, You agree to obtain any and all necessary licenses and/or permissions and to be responsible for any and all payments which may become due as a result of Your use of the Materials, prior to any use of such Materials.

All terms of usage rights are subject to Taco Bell Foundation’s agreements with third parties, who retain the copyright to their work.  You agree that You will not modify or alter the Materials in any manner without prior express approval from the Taco Bell Foundation.  The Taco Bell Foundation reserves the right to request, and You agree that, upon request, You shall cease use of any Materials for any reason.

You agree that usage of the Materials other than as specifically authorized herein is not authorized.  For good and valuable consideration, receipt of which is hereby acknowledged, You hereby agree to defend, indemnify and hold harmless the Taco Bell Foundation and its respective parents, subsidiaries, affiliated companies, and each of their directors, officers, agents and employees from and against any and all damages, costs (including attorney’s fees and disbursements), charges, recoveries, demands, claims, actions, judgments, penalties, interest and other expenses which may arise as a result of any claims for copyright infringement, trademark infringement, false advertising, right of privacy/publicity infringement or the violation of any other third party rights, or a violation of union obligations, with respect to the use of the Materials contrary to the instructions and restrictions provided in this agreement.  You agree that You shall be responsible for any costs or expenses that the Taco Bell Foundation incurs in enforcing Your indemnification obligations.
